Terms and Conditions
The following Terms and Conditions of Service apply to all products and services provided by Zoo Signs + Design Ltd.
All work carried out by Zoo Signs + Design Ltd is on the understanding that the client has agreed to the following terms and conditions.
All our prices exclude VAT, carriage. Prices for carriage are on application and subject to quantity, weight dimensions and product type ordered and not included unless specified.
If a choice of design is presented, only one solution is deemed to be given by Zoo Signs + Design Ltd as fulfilling the contract. All other designs remain the property of Zoo Signs + Design Ltd, unless agreed in writing.
Full copyright to any chosen design concept out of designs presented to you become the property of the client once payment has been received in full, however Zoo Signs + Design Ltd retains the right to display the item/s in any online or offline portfolios, and for the purpose of marketing or advertising our services on or offline
Where Zoo Signs + Design Ltd supplies or offers goods in accordance with the Client’s own designs or specifications, then the Client shall fully indemnify Zoo Signs + Design Ltd against all claims, actions, penalties, costs and expenses to which Zoo Signs + Design Ltd may become liable involving infringement of a patent, registered design, trade mark or trade name.
CHARGES FOR SERVICES & ACCEPTANCE
Charges for all services will be set out in the written quotation that is provided to the client. At the time of the client’s signed acceptance of this quotation (verbal or email consent is also acceptable), indicating acceptance of the Terms & Conditions, a 50% deposit inclusive of VAT will become immediately due. Work on the project will not commence until Zoo Signs + Design Ltd has received this amount. A 50% deposit will also be required for charges for any additional services over and above the estimated design at the time of estimate or quotation acceptance. This applies to all clients unless an agreed credit agreement is in place.
ALTERATION TO DESIGN WORK
The client agrees that changes requested over and above the estimated or quoted work or requested to be carried out after acceptance of the draft design may be liable to a separate charge. The client also agrees that Zoo Signs + Design Ltd holds no responsibility for any amendments made by any third party, before or after a design is published.
It is the responsibility of the client to check proofs carefully for accuracy in all respects, ranging from spelling to technical illustrations. Zoo Signs + Design Ltd is not liable for any errors or omissions. Your signature (or emailed approval) or that of your authorized representative is required on all artwork prior to release for printing or other implementation.
You have a right to cancel your order at anytime. In the event of cancellation, you will be refunded 100% of your monies minus the cost of the work carried out by Zoo Signs + Design Ltd and any Third Party so far, this will be based on our hourly rate and any additional costs incurred. If no work was started, you will not be charged. If all work was completed, you will not be entitled to a refund and may not receive any goods.
Zoo Signs + Design Ltd shall allow credit terms, only upon completion and acceptance of a credit account application form, once a trading relationship has been established.
A credit limit will be set for the Client, which shall not be exceeded.
Unless otherwise agreed by Zoo Signs + Design Ltd, payment is due in full within thirty days of the invoice date (time to be of the essence).
If payment is not made in accordance with these terms, or if at any time the credit standing of the Client has been impaired, Zoo Signs + Design Ltd may refuse delivery of any goods required under the Contract until satisfactory payment has been made to Zoo Signs + Design Ltd. Zoo Signs + Design Ltd also reserves the right to withdraw any special terms, conditions or discounts that may apply to the current or any future contract.
We reserve the right to claim statutory interest at 8% over base rate at the date the debt becomes overdue.
Zoo Signs + Design Ltd requires a 50% deposit for all orders inclusive of VAT, with the balance paid in full upon completion.
Payments by Cash, Cheque, Bank Transfer and all Major Credit and Debit cards are accepted. Funds must be cleared before work can begin. Note: Urgent jobs will require full payment by either Cash, Credit, Debit card or Bank Transfer.
Returned cheques will incur an additional fee of 35.00 (GBP) per returned cheque. Zoo Signs + Design Ltd reserves the right to consider an account to be in default in the event of a returned cheque.
Zoo Signs + Design Ltd are committed to protecting your privacy. We will only use the information that we collect about you lawfully (in accordance with the Data Protection Act 1998).
We have a minimum order value of £ 35.00 + VAT (excluding carriage).
Zoo Signs + Design Ltd shall not in any way be liable to the Client in respect of any loss arising in the event of delivery of the goods being prevented, hindered or delayed as a result of any circumstances outside the control of Zoo Signs + Design Ltd, including (but without prejudice to the generality of the foregoing), act of god, accidents, strikes, lock-outs, trade disputes, acts of restraints of Government or imposition of restrictions on export.
Zoo Signs + Design Ltd must be advised in writing of any disputes or discrepancies within 10 days of receipt of goods. Any discrepancies not notified to Zoo Signs + Design Ltd within this time, whether the fault may be Zoo Signs + Design Ltd’s or the Client’s, might result in the Client incurring extra costs to rectify the problem.
A quotation for the price of the installation shall be provided following a survey of the property, where necessary.
The quotation provides a reasonable estimate of the price but may not be the final price for the Installation.
The quotation shall be valid for 30 days from the date of the quotation.
The quotation assumes that the property is suitable for the installation requested and that all necessary facilities are available including suitable van access and parking. Any parking fees incurred in order to complete the installation will be passed on.
We shall carry out the installation in accordance with the contract and any specifications which have been agreed in writing between you and us and we shall exercise reasonable care and skill in carrying out the installation
We will: –
leave any plasterwork and/or brickwork disturbed during the course of the installation in a safe, weather-tight and secure condition;
take reasonable care to avoid dirtying or causing unnecessary disturbance to the property and shall leave the area in a clean, tidy and safe condition;
remove and dispose of any signs or materials belonging to you which are to be replaced (except any equipment or materials containing asbestos). If we do dispose of any of your old materials we will not be liable to pay you for them.
We shall contact you to agree a date to carry out the installation. If we are unable to carry out the installation on this date, we will contact you to agree an alternative date. Time of delivery shall not be a condition of the contract. We will not be liable for any costs or loss of income that you may incur as a result of any change of date.
The materials to be installed as part of the installation may be delivered to your property prior to the installation and/or kept at your property during the installation. You must make the necessary arrangements to accept delivery of such equipment and take reasonable and proper care of any equipment delivered to or kept at your property.
It is your responsibility unless otherwise agreed in writing to: –
obtain all permissions and consents (including, without limitation, planning permission, building consent, consent from landlords, local authorities, neighbours and/or mortgagees) which are required before we can carry out the installation.
We also recommend that signs are regularly inspected to ensure the integrity of the installation has not been compromised at regular intervals (Especially after high winds)
The price of the installation includes:-
the cost of equipment, parts, labour, delivery and any other additional costs specified and is subject to VAT at the current rate at the date of the installation; and the cost of removing and disposing of any redundant materials removed from the property during the installation.
The price does not include the cost of making good any disturbances, alterations or damage or any redecoration required to the property following completion of the installation.
If additional work is necessary during the installation which could not have been reasonably identified at the time the survey was carried out, we will provide you with a quotation for this additional work. If you request us to proceed with the additional quotation the cost of the additional equipment and/or work shall be due from you under the contract. If you do not request us to proceed with the additional quotation, we will use reasonable endeavours to conclude the original quotation but we will not be liable for any diminished performance or functionality of the installation.
LIMITATION OF LIABILITY
The sole liability of Zoo Signs + Design Ltd in respect of any defect in, or failure of any goods or services supplied or for any shortage in the quantity of goods delivered or for any loss, injury attributable directly or indirectly thereto (other than in respect of death or personal injury) is limited to i) making good by replacement or ii) repairing defects or failures which under proper use appear therein. b) Without prejudice to the foregoing, Zoo Signs + Design Ltd shall in no circumstances be liable – i) for any indirect or consequential loss (including without limitation loss of production, loss of profit or liability to third parties) suffered or incurred by the customer. ii) for any loss or damage in excess of the contract price for the goods or part thereof in respect of which a claim is made. We shall not be liable for any loss to the customer arising from delay in transit of their goods.
Zoo Signs + Design Ltd cannot accept responsibility for the quality of paintwork on vehicles or third party finished substrate, including but not limited to walls, floors and ceilings
We would recommend leaving any third-party finish paintwork for a minimum of 14 days prior to our vinyl application. All our vinyls are dimensionally stable and are designed to be high bond for durability. They are all full removable using the correct method subject to the quality of the base paintwork.
Zoo Signs + Design Ltd cannot take any responsibility for vehicles left with us, where possible we will keep vehicles inside but either way the client will need to ensure that their insurance is sufficient to cover this. We also cannot take responsibility for any items left inside the vehicle.
